Service credit terms — English

Effective date: 2026-02-05 These Service Credit Terms (“Credit Terms”) are an agreement between you and Huner & Prize GmbH (“Hunter & Prize,” “we,” “us,” “our”) and govern your purchase, receipt, or use of credits redeemable for our Services (“Service Credits”). Capitalized terms not defined here have the meanings given in our Terms of Service (the “Agreement”).

By purchasing, receiving, holding, or using Service Credits, you agree to these Credit Terms. If you are accepting these Credit Terms on behalf of an entity, you represent that you have authority to bind that entity.

1. Definitions

“Services” means the products and services we make available under the Agreement, including any API features, generation endpoints, or related functionality.
“Service Credits” means credits that may be redeemed only for eligible Services, at the rates and under the rules displayed at the time of redemption.
“Prepaid Service Credits” means Service Credits you purchase for money or other consideration.
“Promo Service Credits” means Service Credits we grant free of charge (for example, as part of a promotion, trial, referral, or goodwill adjustment).

2. General nature of service credits

Service Credits are not legal tender, not currency, and not a payment instrument.
Service Credits are not redeemable, refundable, or exchangeable for any sum of money or monetary value, except where required by applicable law.
Service Credits have no equivalent value in fiat currency, are not a substitute for fiat currency, and do not constitute or confer any personal property right to you, except where required by applicable law.
Service Credits are non-transferable and may be used only in connection with the Services and your account, subject to these Credit Terms and the Agreement.

3. Purchasing prepaid service credits

We may offer the option to prepay for certain Services by purchasing Prepaid Service Credits.
Prices, conversion rates (e.g., credits per unit), redemption rates (e.g., credits per request), eligible Services, and any additional conditions will be shown at checkout and/or in your account dashboard, and may vary by product, model, region, or plan.
You are responsible for any taxes that may apply to your purchase or use of Service Credits, except where we are required by law to collect or remit such taxes.

4. Promo service credits

Promo Service Credits are granted at our discretion and may be subject to additional restrictions communicated at the time they are issued.
Promo Service Credits are not applied against any transaction-based taxes that may be applicable to you, unless required by law.

5. Expiration

All Service Credits (including Prepaid Service Credits and Promo Service Credits) expire six (6) months after the date of purchase or issuance (as applicable), unless a different period is stated at the time of purchase/issuance.
Expired Service Credits are void and cannot be redeemed, except where required by applicable law.

6. Final sale; no refunds

All sales are final. Purchases of Prepaid Service Credits are non-refundable, except where required by applicable law.
Cancelling a subscription, downgrading a plan, or stopping use of the Services does not entitle you to any refund of Service Credits, except where required by applicable law.
If applicable law grants you a right to withdraw from a purchase (for example, as a consumer), we will honor that right as required by law. Where the law permits, if you have already redeemed or used some Services during a withdrawal period, you may be required to pay for the value of the Services already provided.

7. Subscription cancellation, account termination, and forfeiture

Service Credits are redeemable only while you have an active, eligible account and access to the applicable Services. Certain Services may require an active subscription plan or specific account status to redeem credits.
If you cancel your subscription, your subscription ends, or your account is suspended or terminated, you may lose the ability to redeem Service Credits and any unused Service Credits may be forfeited and become unusable, except where required by applicable law.
We may suspend or terminate your access to the Services in accordance with the Agreement. Where legally permitted, this may include suspending or canceling your Service Credit balance.

8. Balance, statements, and errors

Your Service Credit balance, if shown in your account, is provided for convenience only. You are solely responsible for verifying that credits are correctly added and deducted.
Your Service Credit balance is not a bank account, digital wallet, stored value account, or other payment device.
We may correct errors in crediting or debiting Service Credits (including technical or billing errors). If you believe an error occurred, you must notify us promptly at info@luminel.ai with relevant details.

9. Prohibited transfers and abuse

We prohibit and do not recognize any purported transfers, sales, gifts, trades, or exchanges of Service Credits.
Attempting to transfer, sell, broker, or otherwise misuse Service Credits violates these Credit Terms and may result in revocation, termination, or cancellation of Service Credits and/or suspension or termination of your account without refund, except where required by applicable law.

10. Changes to these credit terms

We may modify these Credit Terms from time to time by posting a revised version on our website and/or by notifying you via the email associated with your account.
Unless required by law, modifications apply prospectively from the effective date shown. By purchasing, receiving, or using Service Credits after the effective date, you agree to the modified Credit Terms.
If you do not agree to a modification, your remedy is to stop purchasing new Service Credits and stop using the Services, subject to any rights you may have under applicable law.
